1. Definitions
In these Terms:
- "KaritKarma" means KaritKarma Limited, a company registered in Dhaka, Bangladesh, and the entity that operates the QRID platform.
- "QRID" means the club management software platform, comprising the ERP, club website engine, member social network, and reciprocal access network, operated by KaritKarma.
- "Club" means the legal entity that has signed a subscription agreement with KaritKarma and holds a licensed tenancy on QRID.
- "Tenant" means a Club's isolated environment on the QRID platform, addressable by domain and identified by a unique tenant ID.
- "Member" means a natural person whose membership record is held within a Club's Tenant, including staff accounts created by the Club.
- "Subscription" means the commercial agreement between a Club and KaritKarma, specifying tier, modules, and fees.
- "Platform Services" means the identity service (Wenme), authorisation service (Darwan), communications service (BitsPath), and theme studio (Loom) operated by KaritKarma and used by QRID.
2. The service
Subject to these Terms and a signed Subscription, KaritKarma grants each Club a non-exclusive, non-transferable licence to use QRID for the Club's internal club management operations and to provide services to its Members.
QRID is a multi-tenant platform. Each Club's data is isolated by Tenant ID. A Club's Tenant is independently addressable (by the Club's own domain or a qrid.club subdomain) and may be configured with the modules appropriate to that Club's operation.
The reciprocal access network is an optional feature. A Club that joins the network agrees to honour verified letters of introduction from other member clubs and to settle charges monthly through the QRID settlement mechanism.
3. Club obligations
By subscribing to QRID, each Club agrees to:
- Designate an administrator account responsible for configuring the Tenant and managing staff access.
- Ensure that all Members using the platform have accepted these Terms (or a derivative set of terms provided to Members by the Club, which must be no less protective of Member data than these Terms).
- Keep login credentials and API keys confidential and report suspected compromises promptly.
- Use QRID only for lawful purposes under Bangladesh law and the law of any jurisdiction from which the Club operates.
- Not attempt to access, modify, or extract data belonging to other Tenants.
- Pay subscription fees on the schedule agreed in the Subscription.
- Provide accurate information when registering and keep it current.
4. Member conduct
Members using the QRID platform (including the member app, web portal, and social network) agree to:
- Access only areas of the platform to which their role grants permission.
- Not share login credentials, session tokens, or digital passes with other persons.
- Use the member social network in a manner consistent with the Club's rules and the standards of the club community.
- Not post content that is unlawful, defamatory, harassing, or that infringes a third party's intellectual property rights.
- Not attempt to probe, scan, or test the security of the platform.
- Not use automated tools to scrape member data, event listings, or any other platform content.
Violations may result in suspension or termination of the Member account, at the Club's or KaritKarma's discretion.
5. Intellectual property
The QRID platform, including its code, design, documentation, and associated Platform Services, is owned by KaritKarma Limited. These Terms do not transfer any ownership rights to Clubs or Members.
Content created by a Club within its Tenant (member records, event listings, communications, club website content) remains the property of the Club. KaritKarma holds a limited licence to that content solely to provide and operate the platform.
QRID and the KaritKarma wordmark are trademarks of KaritKarma Limited. Clubs may not use these marks without prior written consent, except to truthfully state that they use QRID as their club management platform.
6. Data and privacy
The collection and use of personal data in connection with QRID is governed by our Privacy Policy, which forms part of these Terms.
KaritKarma processes personal data as a data controller for platform-level functions (authentication via Wenme, authorisation via Darwan, communications via BitsPath) and as a data processor acting on the Club's instructions for Club-specific data. Clubs remain responsible for their own compliance with applicable data protection law.
We do not sell personal data. We do not use personal data for advertising purposes.
7. Fees and payment
Subscription fees are set out in each Club's Subscription agreement. Fees are invoiced monthly or annually as agreed. Invoices are due within 30 days of issue.
If an invoice is not paid within 60 days of the due date, KaritKarma reserves the right to suspend the Tenant's access until the outstanding balance is settled. Suspension does not delete data; data is retained for 90 days following suspension before deletion procedures begin.
Fees may be revised with 60 days' written notice. A Club that does not accept revised fees may terminate the Subscription before the new fees take effect without penalty.
8. Uptime and support
KaritKarma targets 99.5% monthly uptime for the QRID platform, excluding scheduled maintenance windows (which are announced at least 48 hours in advance) and events outside KaritKarma's reasonable control (force majeure).
Support is provided by email to the Club's designated administrator account. Response targets: critical issues (platform unavailable) within 4 business hours; standard issues within 2 business days. Clubs on the Sovereign tier receive a named platform liaison and priority response.
9. Limitation of liability
To the fullest extent permitted by applicable law, KaritKarma's total liability to a Club for any claim arising out of or relating to the use of QRID (whether in contract, tort, or otherwise) is limited to the total fees paid by that Club in the 12 months preceding the event giving rise to the claim.
KaritKarma is not liable for any indirect, incidental, consequential, or punitive damages, including loss of profit, revenue, data, or business opportunity, even if advised of the possibility of such damages.
Nothing in these Terms excludes liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
10. Termination
Either party may terminate the Subscription with 60 days' written notice. Upon termination, the Club's Tenant remains accessible for a 90-day wind-down period, during which the Club may export its data. After 90 days, the Tenant and its data are deleted in accordance with the Privacy Policy.
KaritKarma may terminate or suspend a Subscription immediately upon written notice if the Club materially breaches these Terms and fails to remedy the breach within 14 days of notice, or if the Club engages in conduct that poses a risk to the security or integrity of the platform or other Tenants.
11. Governing law
These Terms are governed by the laws of Bangladesh. Any dispute arising out of or relating to these Terms that cannot be resolved by negotiation will be submitted to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.
12. Changes to these terms
KaritKarma may update these Terms to reflect changes to the platform, legal requirements, or business operations. The effective date at the top of this page will be updated. Material changes will be communicated to active Club administrators by email at least 30 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.
